PixelEDU Software Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT") CAREFULLY BEFORE ACCESSING OR USING THE SERVICES OFFERED BY PIXELEDU ("WE," "OUR," OR "US"). PIXELEDU MEANS THE SOFTWARE PLATFORM AND SERVICES PROVIDED UNDER THE PIXELEDU BRAND BY ARCHANGEL TABLETS, LLC, A FLORIDA LIMITED LIABILITY COMPANY. BY CREATING AN ACCOUNT, CLICKING "I ACCEPT," OR ACCESSING/USING THE PIXELEDU PLATFORM AND SERVICES ("SERVICES"), YOU ("CUSTOMER," "YOU," OR "YOUR") AGREE TO BE BOUND BY THIS AGREEMENT.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY, EDUCATIONAL INSTITUTION, OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE TO ALL TERMS OF THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. Description of Services & Grant of Access

1.1 Services

PixelEDU provides a software platform to manage hardware and applications, send emergency alerts, as well as design, schedule, manage, and publish digital content to displays and computers (collectively, the "Services").

1.2 License Grant

Subject to your compliance with this Agreement, PixelEDU grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your internal business or educational operations.

2. Account Registration & User Responsibilities

2.1 Account Security

To access the Services, you can log in with your Archangel credentials or create an account (each an "Account"). You agree to:

  • Provide true, accurate, current, and complete registration information.
  • Maintain and promptly update your Account details.
  • Maintain the confidentiality of Account credentials and passwords.
  • Accept responsibility for all activity occurring under your Account or via connected Displays.

2.2 Authorized Users

You may authorize employees, staff, contractors, or administrators ("Authorized Users") to access the Services under your Account. You are fully responsible for ensuring that all Authorized Users comply with this Agreement. Shared logins between multiple individuals are not permitted.

3. Acceptable Use & Restrictions

3.1 Use Restrictions

You agree that you will not, directly or indirectly:

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Services or Software.
  • Modify, translate, adapt, or create derivative works based on the Services or Software.
  • Rent, lease, resell, sublicense, or distribute access to the Services to third parties without prior written approval from PixelEDU.
  • Bypass, disable, or interfere with security features or usage limits implemented within the platform.
  • Use the Services to display, store, or transmit material that is unlawful, defamatory, libelous, fraudulent, infringing on intellectual property rights, or harmful to minors.
  • Upload, transmit, or distribute viruses, malware, Trojan horses, or malicious code through the platform.

3.2 Compliance with Laws

You represent and warrant that your use of the Services will comply with all applicable local, state, national, and international laws, rules, and regulations (including export control laws and privacy regulations).

4. Subscription Plans, Billing & Sponsorship Widget

4.1 Paid Subscriptions

PixelEDU offers various paid subscription plans ("Paid Subscriptions") billed on a recurring monthly or annual basis.

  • Billing Cycle: Fees are billed in advance on the first day of each subscription period.
  • Automatic Renewal: Paid Subscriptions automatically renew for successive terms equal to the initial term unless canceled prior to the subsequent term.
  • Taxes: Subscription fees are exclusive of all federal, state, or local taxes, for which Customer is solely responsible.

4.2 Free Plans (Sponsorship Widget)

PixelEDU may provide a free trial of the Services or provide the Services at no cost in cooperation with a sponsor affiliate (collectively, "Free Services"). If you are accessing or using any Free Services, you expressly acknowledge and agree that PixelEDU may display a small, non-intrusive sponsorship or brand widget (the "Sponsorship Widget") in the corner of your connected Display screen(s). The Sponsorship Widget is designed to remain non-disruptive to your core content layout and is provided solely to subsidize the Services.

The Sponsorship Widget displays static brand or sponsor content only. It does not collect personal information from students, does not use behavioral tracking or targeted advertising, and does not personalize content based on student data. PixelEDU retains sole discretion over sponsor selection and will not display sponsorship content that promotes alcohol, tobacco, gambling, firearms, adult content, or political campaigns. Display of a Sponsorship Widget does not constitute an endorsement of the sponsor by the school, district, or PixelEDU.

PixelEDU may modify the size, placement, or format of the Sponsorship Widget from time to time, provided it remains consistent with the non-disruptive intent described in this section. If you would prefer the Sponsorship Widget be removed, please contact support@pixeledu.com or your Account Manager; removal may require conversion to a paid subscription tier.

4.3 Cancellations and Downgrades

You may cancel your Paid Subscription at any time via your account settings. Cancellation takes effect at the end of the current billing cycle. Pre-paid fees are non-refundable except as required by law or explicitly stated herein. Upon cancellation or non-renewal of a Paid Subscription, your account will automatically convert to a Free Service tier or be deactivated, subject to Section 4.2.

5. Customer Content & Intellectual Property

5.1 Customer Ownership

You retain all right, title, and intellectual property rights in and to any images, videos, graphics, data, logos, text, or other content you upload, display, or transmit through the Services ("Customer Content").

5.2 License to PixelEDU

By uploading Customer Content, you grant PixelEDU a non-exclusive, worldwide, royalty-free, license to host, store, process, reproduce, modify (solely for formatting/display purposes), and transmit your Customer Content for the purpose of rendering and operating the Services on your connected Displays.

5.3 Content Warranties & Safety

You represent and warrant that:

  • You own or possess all necessary rights, licenses, and permissions to publish and display Customer Content on public or private displays.
  • Customer Content does not infringe any third-party intellectual property, privacy, or publicity rights.
  • Public URL Warning: PixelEDU digital signage feeds may be transmitted to public display URLs. Do not store, upload, or broadcast sensitive personal data, confidential credentials, or financial information to public signage feeds.

5.4 Marketing Usage

Unless you opt out by emailing support@pixeledu.com, you grant PixelEDU the right to use your organization name and logo on PixelEDU's website and marketing materials solely to identify you as a customer.

6. PixelEDU Intellectual Property

PixelEDU retains all ownership, right, title, and interest in and to the Services, platform architecture, software, user interface designs, templates, graphics, documentation, and all related intellectual property rights. Nothing in this Agreement transfers ownership of PixelEDU software or trade secrets to you.

7. Third-Party Services & Integrations

The Services may integrate with or link to third-party platforms, applications, or social media feeds (e.g., YouTube, Google Slides, weather apps). PixelEDU does not control or endorse third-party services and is not responsible for their availability, content, or compliance with data privacy standards. Your use of third-party integrations is governed by the respective provider's terms.

8. Term & Termination

8.1 Term

This Agreement commences on the date you first access the Services and continues until terminated by either party.

8.2 Termination for Cause

PixelEDU may terminate or suspend your Account immediately without prior notice if:

  • You breach any material provision of this Agreement.
  • Your use poses a security risk to the platform or other users.
  • Required by law or court order.

8.3 Effect of Termination

Upon termination:

  • All licenses granted to you immediately cease.
  • You must immediately discontinue use of the Services and software on all Displays.
  • PixelEDU reserves the right to delete Customer Content associated with expired or terminated accounts after thirty (30) days.

9. Disclaimers & Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES AND ALL SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. PIXELEDU EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIXELEDU, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THIS AGREEMENT.

PIXELEDU'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PIXELEDU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PixelEDU, its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your misuse of the Services or violation of this Agreement.
  • Any Customer Content displayed on your Displays.
  • Violation of third-party intellectual property or privacy rights by you or your Authorized Users.

12. Governing Law & Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13.2 Informal Dispute Resolution

Before initiating legal action, both parties agree to attempt to resolve any dispute informally by contacting support@pixeledu.com for a period of at least thirty (30) calendar days.

13.3 Binding Arbitration

If the dispute is not resolved informally, it shall be finally settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). You agree that any arbitration shall be conducted solely on an individual basis and not as a class, consolidated, or representative action.

14. Changes to Terms

PixelEDU reserves the right to modify or update this Agreement at any time. We will notify you of material changes by updating the "Last Updated" date at the top of these terms or via email/in-app announcement. Continued use of the Services after modifications take effect constitutes acceptance of the revised Agreement.
